Please read these Terms and Conditions (“Terms”) carefully before using our website or engaging Ceyflux for web development services. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Ceyflux is a web development agency specialising in WordPress, Next.js, React, Shopify, and Webflow development. We provide web design, web development, e-commerce, and related digital services to startups and businesses worldwide.

2. Services

2.1 Scope of Services

Ceyflux provides the following services (“Services”) as agreed in individual project proposals or contracts:

Website design and development (WordPress, Next.js, React, Webflow)
E-commerce store development (Shopify, WooCommerce)
UI/UX design and prototyping
Website performance optimisation and technical SEO
Ongoing website maintenance and support

2.2 Project Proposals

All Services are defined in a written project proposal that specifies the scope of work, deliverables, timeline, and pricing. No work commences until the proposal has been accepted and any applicable deposit has been received.

2.3 Changes to Scope

Any changes to the agreed project scope must be submitted in writing. Additional work outside the original scope will be quoted and billed separately. Ceyflux reserves the right to adjust timelines where scope changes are requested mid-project.

3. Payment Terms

3.1 Pricing

All project prices are quoted in USD (or as otherwise agreed in writing) and are inclusive of the work defined in the project proposal. Prices are exclusive of applicable taxes unless otherwise stated.

3.2 Payment Schedule

Standard payment terms are:

50% deposit required before project work commences
50% final payment due upon project completion, before final files or website access are delivered

Alternative payment schedules for larger projects may be agreed in writing.

3.3 Late Payments

Invoices are due within 7 days of issue unless otherwise agreed. Overdue payments may result in suspension of work and/or delivery of final files. Ceyflux reserves the right to charge interest on overdue amounts at 1.5% per month.

3.4 Refund Policy

Deposits are non-refundable once project work has commenced. If the client terminates the project after work has begun, payment is due for all work completed to date at the agreed hourly or milestone rate. Ceyflux will provide all completed work to the client upon receipt of any outstanding payments.

4. Client Responsibilities

To ensure timely delivery of your project, you agree to:

Provide all required content, materials, assets, and access credentials in a timely manner
Designate a single point of contact for project communication
Respond to requests for feedback, approval, or information within 5 business days
Ensure that any materials you provide (text, images, logos, data) are owned by you or properly licensed
Inform us of any third-party systems, APIs, or tools that must be integrated

Delays caused by late client responses or incomplete materials may affect agreed project timelines. Ceyflux accepts no liability for delays resulting from client-side factors.

5. Intellectual Property

5.1 Ownership After Payment

Upon receipt of full payment, you will own all custom code, design assets, and content created specifically for your project. Ceyflux assigns all intellectual property rights for custom work to the client upon final payment.

5.2 Third-Party Components

Many projects use third-party components such as WordPress themes, Shopify apps, React libraries, or Webflow templates that are governed by their own licences. Ceyflux will inform you of any third-party licences that apply to your project. Ownership of these components is subject to their respective licence terms.

5.3 Portfolio Rights

Unless you specifically request otherwise in writing, Ceyflux reserves the right to display completed work in our portfolio and to reference you as a client in our marketing materials.

5.4 Ceyflux Tools and Frameworks

Ceyflux retains ownership of any proprietary internal tools, frameworks, or code libraries developed by us that are not specific to your project. Such components may be used across multiple client projects.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, pricing, and any information marked as confidential. This obligation survives the termination of the project or agreement.

Ceyflux will not share your project details, data, or business information with third parties except as required to deliver the agreed services.

7. Warranties and Representations

7.1 Ceyflux Warranties

Ceyflux warrants that:

Services will be performed with reasonable skill and care
We have the right to enter into agreements and provide the services described
Delivered work will function as described in the agreed project scope

7.2 Client Warranties

You warrant that:

You have the legal right to use all materials and content provided to us
Your use of our services will not infringe any third-party rights
Information provided to us is accurate and complete

7.3 No Guarantee of Results

While we apply SEO best practices and performance optimisation to all projects, Ceyflux does not guarantee specific search engine rankings, traffic levels, or conversion rates. Results depend on many factors outside our control, including search engine algorithms and market competition.

8. Limitation of Liability

To the fullest extent permitted by law, Ceyflux shall not be liable for:

Indirect, incidental, consequential, or punitive damages
Loss of revenue, profit, data, or business opportunity
Damages arising from your use or inability to use our services
Third-party actions, failures, or breaches

In all cases, Ceyflux’s total liability to you shall not exceed the total amount paid by you for the specific project or service giving rise to the claim.

9. Indemnification

You agree to indemnify and hold Ceyflux, its team, partners, and contractors harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

Your breach of these Terms
Content or materials you provided that infringe third-party rights
Your use of our services in violation of applicable law
Misrepresentations made by you

10. Project Timelines

Estimated timelines are provided in good faith based on information available at the time of quotation. Ceyflux will make all reasonable efforts to meet agreed deadlines. However, timelines may be affected by:

Delayed client feedback, approvals, or content delivery
Scope changes requested by the client
Technical challenges beyond our reasonable control
Force majeure events

Where significant delays are anticipated, Ceyflux will notify the client promptly and agree on a revised timeline.

11. Termination

11.1 Termination by Client

You may terminate the agreement at any time by providing written notice. You will be invoiced for all work completed up to the date of termination. Deposits paid are non-refundable.

11.2 Termination by Ceyflux

Ceyflux reserves the right to terminate the agreement with written notice if:

Payment is not received within 14 days of the due date
The client engages in abusive, threatening, or unlawful behaviour
It becomes impossible to deliver the project due to client non-cooperation

Upon termination by Ceyflux, all completed work to date will be made available to the client upon receipt of any outstanding payments.

12. Website Use

12.1 Permitted Use

You may use our website for lawful purposes only. You agree not to:

Use our website to transmit harmful, offensive, or illegal content
Attempt to gain unauthorised access to our systems or data
Scrape, copy, or reproduce website content without written permission
Use our website in a way that could damage our reputation or services

12.2 Availability

We aim to keep our website available at all times but do not guarantee uninterrupted access. We reserve the right to suspend or modify the website at any time without notice.

13. Governing Law

These Terms are governed by the laws of Sri Lanka. Any disputes arising from these Terms or our services shall first be attempted to be resolved amicably. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.

For clients in the United States, United Kingdom, Australia, or other jurisdictions, we will work in good faith to resolve disputes in a manner that is fair and practical for both parties.

14. Force Majeure

Ceyflux shall not be held liable for delays or failure to perform any obligation under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to natural disasters, power outages, internet service failures, government restrictions, or pandemic-related disruptions.

15. Entire Agreement

These Terms, together with any signed project proposal or contract, constitute the entire agreement between you and Ceyflux regarding our services. They supersede all prior discussions, representations, or agreements. In the event of a conflict between these Terms and a signed project agreement, the signed project agreement shall prevail.

16. Modifications

Ceyflux reserves the right to update these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services after any changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.
